1. Acceptance of Terms

By accessing or using the Reign AI website (reignai.ca), submitting any form, using our voice AI demo, or engaging our services, you agree to be bound by these Terms of Service. If you do not agree, do not use our website or services.

2. Description of Services

Reign AI Solutions ("Reign AI", "we", "our") provides AI-powered voice automation services for businesses, including but not limited to: AI receptionist and call handling, appointment booking, lead qualification, outbound calling, SMS messaging, and related workflow automation. Services are provided on a subscription basis as outlined in individual client agreements.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into a binding agreement to use our services. By using our services on behalf of a business, you represent that you have the authority to bind that business to these terms.

4. User Responsibilities

You agree to: provide accurate and complete information when submitting forms or signing up for services; use our services only for lawful purposes; not attempt to interfere with, disrupt, or gain unauthorized access to our systems or services; and comply with all applicable laws and regulations, including but not limited to CASL, PIPEDA, TCPA, and any applicable telecommunications regulations.

5. Intellectual Property

All content, technology, software, branding, and materials on reignai.ca and within our services are the property of Reign AI Solutions and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content or technology without our prior written consent.

6. Voice AI and Call Recording

Our AI voice services may record and process calls for quality assurance, service delivery, and training purposes. By using our services or interacting with our AI voice agents, you acknowledge and consent to call recording as described in our Privacy Policy.

7. Subscription and Payment

Service subscriptions, pricing, and payment terms are outlined in individual client agreements. Setup fees are due upon signing. Monthly subscription fees are billed in advance. Overage charges for call minutes and SMS usage beyond included allocations are billed monthly in arrears. All fees are in Canadian dollars unless otherwise specified.

8. Cancellation and Termination

Either party may terminate services with 30 days written notice. Upon termination, access to services will cease at the end of the current billing period. Setup fees are non-refundable. We reserve the right to suspend or terminate services immediately if you violate these terms or engage in unlawful activity.

9. Limitation of Liability

To the maximum extent permitted by law, Reign AI Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services. Our total liability for any claim arising from these terms or our services shall not exceed the total fees paid by you to Reign AI in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee uninterrupted, error-free, or completely secure service. While our AI voice agents are designed to perform reliably, they are not a substitute for human judgment in critical or emergency situations.

11. Indemnification

You agree to indemnify and hold harmless Reign AI Solutions, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these terms, or your violation of any applicable law or regulation.

12. Governing Law

These terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these terms shall be resolved in the courts of Ontario, Canada.

13. Modifications

We reserve the right to update or modify these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Your continued use of our website or services after any changes constitutes acceptance of the revised terms.

14. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Mobile Terms of Service

By opting in to receive SMS or text messages from Reign AI Solutions, you agree to the following terms:

• Reign AI may send you automated text messages, including but not limited to appointment confirmations, service updates, and account notifications.
• Message frequency varies based on your account activity and service interactions.
• Message and data rates may apply. You are responsible for any charges from your mobile carrier.
• You may opt out of receiving text messages at any time by replying STOP to any message. Upon opting out, you will receive one final confirmation message and no further messages will be sent.
• For help or assistance, reply HELP to any message or contact us at info@reignai.ca or 647-956-4784.
• We do NOT share, sell, or transfer your phone number or SMS consent information to third parties or affiliates for marketing or promotional purposes.
• Consent to receive text messages is not a condition of purchase or use of our services.
• Supported carriers include but are not limited to major Canadian and U.S. carriers. Carrier availability may change without notice.
• Carriers (including but not limited to T-Mobile, AT&T, Verizon, Rogers, Bell, Telus) are not liable for delayed or undelivered messages.
